Merchant Registration, Consent & Platform Agreement

1. Customer Outreach & Wide Data Visibility Consent

By completing registration, you grant DJ Fynds Services LLC explicit permission to publish, distribute, and broadcast your submitted business details, deal terms, store location, logos, photos, and promotional metadata across public platforms, user-facing discovery apps, partner networks, and messaging channels. You acknowledge and consent that your deals and business profile will be made broadly visible to end users, consumers, and platform visitors for promotion, discovery, and redemption.

2. Cross-Merchant Visibility & Promotional Intelligence

You acknowledge and consent that deals, discounts, campaign metadata, and active promotional updates posted on the platform may also be visible to other onboarded merchants, prospective merchants, and the general public to support transparency, competitive benchmarking, and dynamic offer discovery. DJ Fynds Services LLC may use public, aggregated, or de-identified information for analysis, recommendations, and platform optimization.

3. Data Retention, Lifecycle Aging & Secure Disposal

DJ Fynds Services LLC retains active merchant registration data, consent audits, financial and transaction histories, and security logs for the duration of the active account plus seven years after closure, termination, or inactivity for accounting, tax, contractual, and legal auditing purposes. After that period, sensitive personal identifiers, banking information, and private account credentials are securely purged, anonymized, or destroyed using reasonable safeguards.

4. Data Security Safeguards & Breach Notification Compliance

DJ Fynds Services LLC implements commercially reasonable administrative, technical, and physical safeguards appropriate to the stored merchant data. If a security incident affects non-public merchant data, FlashFynd will notify affected merchants and applicable authorities without unreasonable delay as required by law.

5. Future Term Modifications, Registration Fees & Fee Schedule Updates

DJ Fynds Services LLC may modify this Agreement, platform features, fee structures, and commercial terms, including future registration fees, subscription plans, listing fees, or adjusted commissions. Material fee or policy changes will be communicated at least 30 days in advance by email, dashboard notice, or WhatsApp. Continued use after the effective date means acceptance of the revised terms.

6. Communication & Messaging Consent

You consent to receiving automated transactional notifications, customer inquiry webhooks, platform status alerts, security notices, fee updates, and operational communications through WhatsApp Business API, SMS, push notifications, or email using the registered contact details you provide. Optional marketing communications will be handled separately where required by law.

7. Data Collection, Analytics & Benchmarking

You grant permission to collect, process, and analyze store location, transaction metadata, customer engagement statistics, device and technical signals, and campaign metrics. Aggregated and anonymized performance data may be used for benchmarking, fraud prevention, optimization, recommendations, and business intelligence.

8. Business Information & Media Authorization

You certify that all business details, tax identifiers, addresses, phone numbers, photos, logos, and promotional content you provide are accurate, complete, and non-infringing. You grant DJ Fynds Services LLC a non-exclusive, worldwide, royalty-free, sublicensable license to host, format, reproduce, display, syndicate, and distribute your branding, media, and offer details as reasonably necessary to operate and promote the platform.

9. Compliance, Offer Fulfillment & IP Ownership

You retain ownership of your merchant content. You agree to honor active deals, discount codes, and offer redemptions generated through the platform for valid customers under the published terms. You also confirm that listed products and services comply with local laws, licensing requirements, and safety rules, and that you will not advertise deceptive or fictitious promotions.

10. Financial Terms & Settlement Authorization

You agree to pay all disclosed commissions, transaction fees, subscription fees, and service charges under the applicable fee schedule. You authorize DJ Fynds Services LLC and its payment processors to collect fees, refunds, chargebacks, disputed redemptions, or settlement adjustments from merchant balances or payouts where applicable.

11. Merchant Insurance Requirements & Hold Harmless Indemnification

DJFynds Services LLC does not provide business, product liability, property, or loss insurance for your business. You are responsible for maintaining insurance appropriate to your operations and risk profile. Any merchant or consumer concern, complaint, demand, or claim relating to your products, services, listings, redemptions, or business operations must be addressed first through FlashFynd and DJFynds Services LLC, and then, where applicable, through the relevant insurance carrier or claims process. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless DJFynds Services LLC and its personnel from third-party claims arising from your products, services, offer fulfillment, legal violations, merchant content, or breach of this Agreement.

12. Entity Limitation of Liability & Individual Stakeholder Shield

All platform obligations and liabilities are limited to DJFynds Services LLC as a corporate entity. To the fullest extent permitted by North Carolina law and other applicable United States law, no founder, owner, member, manager, officer, employee, investor, or agent of DJFynds Services LLC will be personally liable for claims related to the platform or your use of it. Any merchant or consumer concern must be directed to FlashFynd and DJFynds Services LLC first, and then to any applicable insurance process if needed, and not to individual LLC stakeholders in their personal capacity except where non-waivable law expressly requires otherwise.

13. Disclaimer of Warranties & General Limitation of Liability

Platform services are provided on an as-is and as-available basis without warranties of any kind. DJ Fynds Services LLC does not guarantee uninterrupted availability, customer traffic, specific sales results, or revenue. To the fullest extent permitted by law, DJ Fynds Services LLC will not be liable for indirect, incidental, special, consequential, or lost-profit damages, and aggregate liability will not exceed the greater of fees paid by the merchant in the prior 12 months or $100.

14. Governing Law, Jurisdiction & Venue

This Agreement is governed by the laws of the State of North Carolina. You consent to the exclusive jurisdiction and venue of the state courts in Mecklenburg County, North Carolina, or the United States District Court for the Western District of North Carolina, Charlotte Division, and waive objections based on venue or forum convenience.

15. Electronic Consent, Signatures & Communications

Selecting the acceptance checkbox and clicking the registration button, or taking another affirmative electronic action designated by FlashFynd, constitutes your legal electronic consent, electronic signature, and intent to be bound by this Agreement. You agree that this electronic acceptance is intended to have the same force and effect as a handwritten signature under applicable United States law, including the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. 7001 et seq., and the Uniform Electronic Transactions Act as adopted in applicable jurisdictions, to the extent those laws apply. You consent to conduct business electronically and receive notices, disclosures, fee schedules, alerts, webhooks, and legal communications through electronic channels. FlashFynd may maintain evidence of acceptance, including agreement version, timestamp, IP address, and account identifiers, as audit records.

16. Non-Waiver & Enforcement Rights

Any delay or failure by DJ Fynds Services LLC to enforce a right or provision does not waive that right or provision. A waiver is effective only if made in writing by an authorized manager.

17. Severability, Survival & Entire Agreement

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law. Provisions that should survive termination, including payment obligations, data retention, intellectual property licenses, indemnification, limitation of liability, governing law, and consent records, will continue after account closure. This Agreement, together with the Privacy Policy and applicable fee schedule, forms the entire agreement between DJ Fynds Services LLC and the merchant regarding the FlashFynd platform.
